Subject: File No. S7-06-13
From: George P McCartin, Esq.

It was surprising to learn that there is a law preventing ordinary well-informed investors from participating in venture capital investments, unless they are worth 1 million or more, excluding their home(s). While it is understandable this law is on its face for the purpose of protecting investors generally, in reality it is doing nothing but favoring those who already have quite a bit of money to the can make quite a bit more. The fact that I am a millionaire in no way indicates the level of my education or sophistication vis--vis investing.

It is submitted that it is time for you to change this law/regulation.
