The new rules that the SEC is seeking to implement will severely hamper the ability of start-up companies in the US to raise funding. Crowd funding is the new norm even in the context of existing venture funds. Having worked in the early stage tech commercialization space for over a decade I can honestly say that fundraising is one of the biggest challenges. And if SEC imposes the contemplated filing requirements the community is going to be hampered significantly. You also run the risk of start-up incorporating in other countries to avoid the hassels and potential regulatory hiccups.
