The amendments to Regulation D would hurt startups and negatively impact the innovation economy. As an active member of the technology and startup community in Seattle I have many friends and colleagues that would be harmed by these regulation changes. I have personally started 2 technology companies and these changes would make it harder and riskier for me to start another.

The 15 day filing requirements are onerous. The penalty box approach is terrifying for small startups - it effectively would force them to shutdown if they are found in violation.

Fundraising is already a challenging process for startups that can be a distraction from the real work of innovation and growing a business. Regulations that create more work and kill startups are unwarranted. Please consider how these regulation changes will hinder innovation and harm our economy.
