Re: Comments on Proposed Amendments to the Accredited Investor Definition (Notices Published September 30, 2026)
Dear Ms. Countryman:
Nexgo Inc. welcomes the opportunity to submit this comment letter in response to the Securities and Exchange Commission's ("SEC" or "Commission") proposed notices published on September 30, 2026, regarding the expansion of the criteria for qualifying as an "Accredited Investor."
About Nexgo Inc.
Nexgo Inc. is an emerging growth enterprise dedicated to driving innovation and fostering sustainable economic growth. As a company navigating private capital markets, we have a direct interest in regulatory frameworks that enhance capital formation while maintaining robust investor protections.
Support for the Proposed Rule Amendments
1. Inclusion of Professional Certifications and Credentials (CPA, CFA, CFP, FINRA Series 79, 86, and 87)
Nexgo Inc. strongly supports the Commission's proposal to recognize professional designations—such as Certified Public Accountant (CPA), Chartered Financial Analyst (CFA), Certified Financial Planner (CFP), and FINRA Series 79, 86, and 87 licenses—as qualifying criteria for accredited investor status. Individuals holding these recognized credentials possess sophisticated financial knowledge, risk management capabilities, and analytical expertise. Recognizing these credentials aligns accredited investor status with actual financial sophistication rather than wealth alone.
2. Introduction of the FINRA Accredited Investor Examination (10-Year Validity)
We fully support the proposal to establish a specialized FINRA-administered examination granting accredited investor status for a period of ten (10) years upon successful completion. This provides a clear, reliable, and standardized pathway for knowledgeable individuals to participate in private market offerings. The 10-year validity period offers stability and predictability for both investors and issuers, streamlining compliance and verification procedures.
3. Positive Impact on Capital Formation and Private Market Access
Expanding the accredited investor pool to include credentialed professionals democratizes access to early-stage growth investments and private placements. For growing companies like Nexgo Inc., this broadens the investor base, facilitates efficient capital raising, and fosters broader market participation without diluting investor safeguards.
Conclusion
Nexgo Inc. commends the Commission for its forward-thinking approach to modernizing the accredited investor framework. We urge the Commission to finalize and adopt these proposed amendments.
Thank you for your consideration of our views.
Respectfully submitted,
Nexgo Inc.
