Subject: File No. 4-637

February 3, 2013

Dear Members of the Securities and Exchange Commission:

Secret political spending, especially by corporations, is an anathema to democracy. Transparency is essential to government by, of, and for the people. Underhanded manipulation by corporations is not in the interests of the American people.

That's why it's so important for the SEC to make enforceable rules to require publicly traded corporations to publicly disclose all their spending on political activities.

Shareholders and the public deserve to know how much a each corporation spends on politics, both outright  and by routing funds through organizations. It is especially important to know which candidates and policies are being promoted or attacked, because they are essentially purchasing our government behid our backs.

Thank you for considering my comment.

Sincerely,

Diane Fails
