Subject: SEC Review of Rule 12b-1

I am writing to express my concerns about the SEC's ongoing review of Rule 12b-1.

I provide personalized service to 750 mostly middle income families. The majority of my clients are first time investors, and without the on-going 12(b) 1 compensation that I receive, I would not be able to service many of these clients.

During the past month, I have settled 4 death claims at no cost to the families, met with other families to stress the importance of organizing their estates, and calmed the nerves of clients in these changing economic times.

During the past years I have lowered my compensation with Class C shares to give clients more flexibility to withdraw shares at a low cost cost, but without the on-going trail commission, I would not be able to employ a full-time assistant and pay beenfits.
