Subject: File No. 4-537: Shareholder Resolutions

July 23, 2007

Dear Chairman Cox:

Dear Chairman Cox: As a small investor, I have precious little chance to be heard by management on their decisions--decisions which often affect not only the company itself, but also society as a whole. I am shocked to learn that you are considering issuing new rules that would further pare down investors' rights to challenge management thinking. I believe the SEC has the obligation to protect the public at large as well as to protect corporations. I strongly urge you and the SEC to uphold shareholder rights to propose corporate resolutions. Surely, at the very least, the present, very limited, shareholder power should not be further weakened. Respectfully, Marcia Rucker
