ITEM 7.01 Regulation FD Disclosure.

On December 27, 2005, the Registrant issued a press release announcing that Breeze-Eastern, a division of the Registrant, has been awarded a contract by the Naval Inventory Control Point for repair and overhaul of rescue hoists, cargo hooks and other types of items used in support of H-3 and H-53 helicopters. A copy of the press release is attached hereto as Exhibit 99.
