EX-12.A12 2 PRESS RELEASE [LETTERHEAD OF THERMO ELECTRON APPEARS HERE] THERMO ELECTRON TO FURTHER EXTEND PURITAN-BENNETT OFFER WALTHAM, Mass., November 29, 1994 - Thermo Electron Corporation (NYSE-TMO) announced today that it is extending its $24.50 per share, all-cash tender offer for all of the outstanding common stock of Puritan-Bennett Corporation (NASDAQ-PBEN) until midnight, New York City time, on Thursday, December 8, 1994, unless further extended by Thermo Electron. Preliminary figures indicate that a total of approximately 8,388,484 shares had been tendered through November 28, 1994, when the tender offer was previously scheduled to expire. The tendered shares, together with the shares already owned by Thermo Electron, constitute approximately 72 percent of the outstanding Puritan-Bennett common stock at September 7, 1994 (67 percent on a fully diluted basis). "We have extended our tender offer to give Puritan-Bennett's shareholders additional time to consider the offer, in light of the substantial support the offer has received from shareholders so far and new shareholder litigation in Delaware seeking to invalidate certain anti-takeover measures applicable to our offer," said Dr. George N.
