Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Terex Corporation (the "Company") regrets to report the death of one of its directors, David Wang, who passed away on June 3, 2019 after an illness. Mr. Wang served on the Company's Board of Directors since 2008. Mr. Wang had a long and distinguished career at General Electric and The Boeing Company. Mr. Wang was a valuable member of the Company’s Board of Directors and his leadership will be missed by the Company.
