Item 8.01  Other Events

On November 10, 2005 Teltronics, Inc. amended its Annual Report on Form 10-K for the year ended December 31, 2004 and its Quarterly Report on Form 10-Q for the three month period ended March 31, 2005 at the direction of the Securities and Exchange Commission.

The only change to each of these Reports was to Exhibit 31.1 and Exhibit 31.2 which are the certifications executed by the Chief Executive Officer and Chief Financial Officer under Rule 13a-14(a)/15d-14(a).

The Securities and Exchange Commission stipulated the exact language to be used in these certifications. That language was changed by the Commission effective on August 14, 2003 and the Company did not change the certification language in these reports.

All other aspects of both reports remain unchanged.
