        On April 6, 2006, Robert T. Blanchard, a director of Bandag, Incorporated (the "Company"), informed the Company that he will retire from the Board of Directors and will not stand for re-election to the Company's Board of Directors at the Company's annual meeting to be held May 16, 2006. Mr. Blanchard will serve the remainder of his term as a director until the Company's 2006 annual meeting.
