2. Represents shares withheld by the Issuer in satisfaction of exercise price and tax withholding obligation arising from the net settlement of a stock option. The price reflected is the closing market price of the Issuer's Common Stock on the transaction date.
3. Reflects the weighted average price of 11,486 shares of common stock of the Issuer sold by the Reporting Person in multiple transactions on November 30, 2012, with the sale price ranging from $46.50 to $47.29 per share. The Reporting Person undertakes to provide upon request by the Staff of the U.S. Securities and Exchange Commission, the Issuer, or a security holder of the Issuer, full information regarding the number of shares sold at each separate price.
