Item 1.01Entry into a Material Definitive Agreement

 

On September 30, 2020, Sturm, Ruger & Company, Inc. (the “Company”) entered into the Second Amendment to Credit Agreement (“Amendment”) with Wells Fargo Bank, National Association (the “Bank”), which extends the termination date of the Company’s Credit Agreement with the Bank to September 30, 2021 and modifies a financial covenant.

 

This description of the Amendment does not purport to be complete and is qualified in its entirety by reference to the full text of the Amendment, a copy of which is filed herewith as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
