OTHER EVENTS AND REGULATION FD DISCLOSURE On September 27, 2001, Registrant purchased in one single private block transaction 75,100 shares of Registrant's Common Stock, par value $0.01 per share, at a total purchase price of $1,314,250, or $17.50 per share. Registrant then retired the total number of shares, reducing the number of shares of Common Stock outstanding to 1,438,945 shares. The shares purchased by Registrant constituted approximately 4.96% of the previous number of shares outstanding before such purchases.
