Item 8.01 Other Events.

World Air Holdings, Inc., a Delaware corporation (the "Registrant"), today announced that the Nasdaq Listing Qualifications Panel has granted the company continued listing on the Nasdaq National Market until February 20, 2006, pending filing of an amended Form 10-Q/A for the period ended June 30, 2005 and a Form 10-Q for the period ended September 30, 2005. The Registrant's press release is included as Exhibit 99.1 to this Current Report and is incorporated by reference herein.
