ITEM 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 27, 2018, Levi Strauss & Co. (the “Company”) disclosed on a Current Report on Form 8-K (the “Initial Form 8-K”) that Joshua E. Prime had been elected to the Company’s Board of Directors (the “Board”) effective at such time when Peter E. Haas, Jr. retires from the Board. Mr. Haas Jr. will retire from the Board on September 21, 2019. Committee assignments for Mr. Prime had not been determined as of the filing of the Initial Form 8-K. This Current Report on Form 8-K/A amends the Initial Form 8-K to disclose that on September 12, 2019, upon the recommendation of the Nominating, Governance and Corporate Citizenship Committee of the Board, the Board appointed Mr. Prime to serve as a member of the Finance Committee of the Board effective September 22, 2019. The Board determined that Mr. Prime meets all of the applicable requirements for service on the Finance Committee.
