SUBSEQUENT EVENTS

NOTE 13 – SUBSEQUENT EVENTS

The Company has evaluated subsequent events through the date these consolidated financial statements were issued and has identified the following:

Stock Option Exercise

On April 10, 2023, the Company issued 16,471 shares of common stock related to a cashless exercise of options.

Stock Issued for Noncontingent Consideration Payment

On April 17, 2023, the Company issued 455,319 shares of common stock related to the second of five quarterly installment payments due to the sellers of Cleared under the First Amendment.

Stock Issued for Service

On May 1, 2023, the Company issued 3,000 shares of common stock related to vested restricted stock units.

Litigation Settlement

In April 2023, the parties in the case of LifeMD, Inc. et al. v. Lamarco, et al, Case No. 21-1273, reached a settlement agreement and submitted a stipulation to the court. The stipulation was so ordered on April 6, 2023, and the case was closed.
