| 1. As of December 16, 2010, Cerberus America Series Two Holdings, LLC held 26,167 shares of common stock, par value $0.0001 (the "Common Stock"), of REVA Medical, Inc. (the "Company"), Cerberus International, Ltd. held 995,553 shares of Common Stock, Cerberus Partners, L.P. held 520,641 shares of Common Stock, Cerberus Series Four Holdings, LLC held 1,046,486 shares of Common Stock and Gabriel Assets, LLC (collectively with Cerberus America Series Two Holdings, LLC, Cerberus International, Ltd., Cerberus Partners, L.P. and Cerberus Series Four Holdings, LLC, the "Cerberus Entities") held 295,579 shares of Common Stock. |

The number of shares of Common Stock held by each of the Cerberus Entities reported herein includes the shares of Common Stock (i) received in connection with the conversion of the Series H Preferred Stock held by the Cerberus Entities upon the consummation of the Company's initial public offering, (ii) received as a payment in kind dividend with respect to the Series H Preferred Stock held by the Cerberus Entities and (iii) received in connection with the cashless exercise of certain warrants held by the Cerberus Entities upon the consummation of the Company's initial public offering. |
