On March 27, 2024, Take-Two Interactive Software, Inc., a Delaware corporation (the “Company”), issued a press release announcing the entry into a definitive agreement with Embracer Group AB to acquire The Gearbox Entertainment Company Inc. A copy of the press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 7.01.
