Item 2.02          Results of Operations and Financial Condition

Ballantyne of Omaha, Inc. (the “Company”) issued a press release on May 4, 2007 with earnings information on the Company’s quarter ended March 31, 2007. The press release is furnished with this Form 8-K as Exhibit 99.1.

Item 5.02          Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 30, 2007, Ballantyne of Omaha, Inc., appointed Christopher D. Stark as its Vice President of Operations.  Prior to joining Ballantyne, Mr. Stark, age 46, was employed since 1999 by Nobbies, Inc., a retail chain of stores with an e-commerce site.  He served as Nobbies’ General Manager and was responsible for all operations, business expansion and vendor negotiations.  He also had functional responsibility for accounting, purchasing, human resources, advertising, marketing and store operations.
