        Stone Container Corporation, a wholly-owned subsidiary of Smurfit-Stone Container Corporation, issued a press release on June 19, 2002 announcing that it had entered into an agreement to sell $400 million of 8³/8% Senior Notes due 2012. For information regarding the transaction, reference is made to the press release dated June 19, 2002, which is attached hereto as Exhibit 99.1 and incorporated herein by reference.
