Item 7.01 Regulation FD Disclosure.

On March 17, 2016, SunEdison, Inc. (the “Company”) and certain of its first and second lien lenders entered into confidentiality agreements under which certain information regarding the Company was provided in connection with proposed debtor-in-possession financing transactions. Under certain of such agreements, the Company has agreed to publicly file the information attached as Exhibit 99.1 hereto and incorporated by reference herein. The negotiations with respect to such potential financing transactions (including intercreditor issues and other material terms thereof) are still ongoing, and there can be no assurance that any agreement will be reached with respect thereto.

The information in this Current Report on Form 8-K under Item 7.01 and Exhibit 99.1 is being furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended.
