Item 2.05 Costs Associated with Expense Reduction Activities

On October 22, 2007, TranSwitch Corporation (TranSwitch) initiated certain actions to reduce future expenses which include a workforce reduction of less than 10% of the total TranSwitch workforce, and certain project deferments.

Charges associated with today’s actions, which represent one-time employment termination charges, are expected to be approximately $0.7 million, which will be payable in cash.
