Duchossois. All shares of common stock of the Purchaser are owned by the Reporting Person. Duchossois, by virtue of its or his relationship with the Reporting Person, and Richard L. Duchossois, by virtue of his relationship with DII, may be deemed to be an affiliate of the Reporting Person and, therefore, each may also be deemed to beneficially own the shares of common stock of AMX Corporation (the "Issuer") that are the subject of this report. DII, Craig J. Duchossois and Richard L. Duchossois each disclaim beneficial ownership with respect to the shares of common stock of the Issuer held by the Purchaser, except with respect to the pecuniary interest in such shares attributable to each such entity or individual by virtue of a direct or indirect equity interest in the Issuer. The shares of common stock that are the subject of this report were directly acquired by the Purchaser upon the expiration of the subsequent offering period of a tender offer for all outstanding shares of common stock of the Issuer (the "Tender Offer"), as disclosed in the Tender Offer Statement on Schedule TO, as amended, initially filed with the Securities and Exchange Commission by the Purchaser, the Reporting Person and DII on February 24, 2005.
