(23)    Education, Research and Settlement Charge

The education, research and settlement charge relates to an agreement with the University of Sydney (“University”) in May 2013 to pay  $24.8 million to the University comprising the following:

· $9.9 million towards the establishment of two perpetual academic chairs called the ResMed Chair of Sleep Medicine for sleep-disordered breathing with a focus on chronic disease and the ResMed Chair of Biomedical Engineering with an emphasis on bioinformatics research.

· $4.9 million in equal installments, over five years, to be used by the University to support research in the fields of sleep medicine and biomedical engineering.

· $10.0 million in settlement of proceedings between the parties, including $1.25 million for the release from the proceedings and $8.75 million for prior period royalties payable under the license agreement.

We have expensed the full amount of the charge, in our operating income, in fiscal year 2013.
