Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 25, 2009, Bennet P. Tchaikovsky, an independant director and Chairman of the Audit Committee and a member of the Compensation Committee of Ever-Glory International Group, Inc ( the ‘”Company”), notified the Board of Directors of his desire to resign from each of his positions, effective November 25, 2009. Mr.Tchaikovsky's resignation was not the result of any disagreement with the Company known to an executive officer of the Company on any matter relating to the Company's operations, policies or practices.
