What is happening between The First Bank and Heritage Southeast Bank (HSB)?
On July 27, 2022, The First Bank and Heritage Southeast Bank announced a definitive agreement to join forces to grow both financial institutions and provide strong returns for shareholders.

 

Why is HSB being acquired by The First Bank?
This partnership is a proactive step taken by two financially sound institutions with similar philosophies to capitalize on both of our strengths and position. Consolidation will provide shareholders, customers, and employees the best of both organizations.

 

Why is HSB looking to merge so soon after terminating the transaction with VyStar?
Heritage Southeast Bank is successful. It is always attractive to other banks looking to merge and grow. This new agreement is with The First Bank, a very successful regional community bank that wants to grow and expand their presence further into Georgia.

 

Who is The First Bank?

The First Bank is headquartered in Hattiesburg, Mississippi and has over 90 branches in Alabama, Florida, Georgia, Louisiana, and Mississippi. In 1996, their founding Directors started the Bank with a vision of creating a regional community bank that focused on growing their business by building long term relationships with clients and generating superior returns for shareholders. What is the consolidation timeline?
The First Bank and HSB have signed a definitive agreement — a contract outlining the material terms of the merger. In the coming months, we will work with regulators and other officials to finalize the purchase. Systems merger is targeted for Q1 2023.

 

When do we expect this merger to close?

We expect regulatory review for this merger to be straightforward and anticipate legal close in Q4 2022/Q1 2023.

 

 

 

 

 

  

Will any office or branch locations close because of the merger?
At this time, there are no branch locations that will be closed since there is no overlap in markets.

 

Will the name of our bank change on our outdoor signs?
Yes. The First Bank signage will replace all current signage at or near systems conversion.

How and when will information be communicated to customers?
The First Bank will send out communications throughout the entire process that will inform and explain the changes that are set to take place.
