Item 2.02 Results of Operations and Financial Condition

 

On May 5, 2005, Coinstar issued an earnings release announcing its financial results for the quarter ended March 31, 2005. A copy of the earnings release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

 

Item 5.02 Departure of Directors or Principal Officers

 

On May 5, 2005 Richard P. Stillman tendered resignation of his position as President of Coinstar. The effective date of Mr. Stillman’s resignation will be June 3, 2005.
