Approximately 72,634 and 235,433 of the restricted stock unit grants during 2008 and 2007,  respectively, contained performance-based conditions which were fully satisfied based on the Company’s full-year 2008 and 2007 financial performance against certain targets. No 2009 restricted stock unit grants contained performance-based conditions.  The restricted stock units granted to officers and other key employees generally provided for three-year 100% cliff vesting on the third anniversary of the date of grant, based on continued employment.</div> <div style="TEXT-INDENT: 18pt;
