Item 1.01 Entry into a Material Definitive Agreement
On November 21, 2008, the Board of Directors of Borders Group, Inc. (the “Company”) approved the form of an indemnification agreement to be entered into with each of the directors and officers of the Company. The principal purpose of the agreement is to confirm that the indemnification rights of officers and directors under Article VIII of the Restated Articles of Incorporation of the Company shall apply during and after the term of an individual’s service with the Company, without regard to whether any actual or alleged occurrence or omission shall have occurred, or whether any claim shall have accrued or been made, before, during or after such term of service.
A copy of the form of agreement is attached as an exhibit to this Report.
Item 2.02 Results of Operations and Financial Condition
On November 25, 2008, Borders Group, Inc. (the “Company”) issued a press release regarding its financial results for the third quarter of fiscal 2008 ended November 1, 2008. A copy of the press release is attached hereto as Exhibit 99.4.
