Item 5.02.                      Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously reported on Form 8-K/A, Amendment No. 1, filed on January 8, 2008 by Anadigics, Inc. (the “Company”), the Board of Directors of the Company appointed Mr. Gilles Delfassy a director effective as of January 2, 2008.  Pursuant to Instruction 2 of Item 5.02 of Form 8-K, this amendment is being filed to report that, effective March 27, 2008, Mr. Delfassy was appointed to the Compensation and HR Committee of the Company’s Board of Directors.
