Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On August 2, 2010, the employment of John O’Keefe with Hyperdynamics Corporation (the “Company”) was terminated including the positions of Executive Vice President and Chief Financial Officer.

On August 2, 2010, the Company appointed Jason Davis, the Company’s Director of Finance and Treasurer, as the Principal Financial Officer of the Company.  The disclosure regarding Mr. Davis’ age, employment experience and compensation arrangement is incorporated herein by reference from the Current Reports on Form 8-K filed with the Securities and Exchange Commission on July 6, 2009 and October 16, 2009.  The Company intends to conduct a search for a new Chief Financial Officer.
