On July 23, 2002, The Bank of Kentucky, Inc., a wholly-owned subsidiary of The Bank of Kentucky Financial Corporation, issued a press release announcing that it had entered into a non-binding letter of intent with Peoples Bank of Northern Kentucky to purchase certain assets and assume certain liabilities. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
