Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 19, 2007, the Registrant appointed two new directors to its board: Mr. Ernest Freyou and Mr. Robert L. Wolfe, Jr.

Mr. Freyou will serve on the Audit Committee. Both individuals serve also as directors of Teche Federal Bank, the Registrant’s wholly-owned subsidiary.
