Stock Option Agreement (1-Year Cliff Vesting), and the 2003 Equity Incentive Plan (as amended from time to time). Defined terms in the Plan shall have the same meaning in this Notice of Grant. This Option is intended to be treated for tax purposes as a Nonqualified Stock Option and accordingly does not qualify for treatment as an incentive stock option under Section 422 of the Internal Revenue Code of 1986, as amended.
