Item 8.01 Other Events

On September 21, 2006, Micrel Incorporated issued a press release announcing
a settlement of the patent infringement and trade secret misappropriation
lawsuit brought by Micrel against Monolithic Power Systems, Inc. in the United
States District Court for the Northern District of California.  The patents and
alleged trade secrets were related to semiconductor manufacturing processes and
semiconductor design elements.

A copy of the press release is furnished as Exhibit 99 to this report. Such
Information shall not be deemed "filed" for purposes of Section 18 of the
Securities Exchange Act of 1934, as amended, and is not incorporated by
reference into any filing of the company, whether made before or after the
