                     INFORMATION TO BE INCLUDED IN REPORT

Item 5.02(b)  Resignation of Director.

On August 9, 2005, Warren H. Muller, member of Micrel, Incorporated's Board of
Directors, informed the Company of his intention to resign from the Board for
health reasons, effective on the earlier of August 31, 2005 or as soon as the
Board can find a suitable candidate to replace Mr. Muller.

Mr. Muller is a co-founder of the Company and has been a Board member since the
Company's inception in 1978.

The Nominating/Corporate Governance Committee of the Board of Directors will
begin an immediate search for candidates for the Director position to be
vacated by Mr. Muller.
