Item 1.01 Entry into a Material Definitive Agreement.
On September 3, 2025, Primecare Supply, LLC (“Primecare”), a wholly owned subsidiary of Global Technologies, LTD, entered into a Channel Partner Agreement (the “Agreement”) with a third-party business development firm. Under the terms of the Agreement, the channel partner will provide business development support to Primecare by facilitating introductions to licensed pharmaceutical suppliers and distribution partners, connecting Primecare to sales agencies, and supporting the management of Primecare’s relationship with its technology platform provider. The Agreement is structured on an independent contractor basis and includes customary confidentiality, non-circumvention, indemnification, and revenue-sharing provisions.
