Ref. Transportadora de Gas del Sur S.A. (“TGS”)



Dear Sirs,


The purpose hereof is to inform you -pursuant to the requirements of the regulations under the United States Securities and Exchange Act- that on November 14, 2011, TGS’ Board of Directors approved to request Petrobras Argentina S.A. –TGS’ Technical Operator- the extension of the Technical Assistance Agreement (“TAA” or the “Agreement”) entered into with said Technical Operator, for a three-year term as from its expiration on December 28, 2011, while keeping all other  Agreement terms and conditions unchanged.


In compliance with section 731 of Law 17,811 of the Argentine Securities and Exchange Commission, on November 9, 2011, the Chairman of TGS’ Board of Directors requested the Auditing Committee to evaluate said transaction. The Auditing Committee members issued a report concluding that the TAA with the Technical Operator can be reasonably considered under ordinary and regular market conditions. In order to draw up said report, the Auditing Committee requested the opinion of two (2) external specialists.


Finally, it should be pointed out that the Auditing Committee’s opinion, as well as the reports issued by the external specialists on which said opinion was based, are available for consultation by accredited shareholders if so desired, at TGS’ principal office.
