AVP Holdings, Inc. and AVP Acquisition Corp. became indirect beneficial owners of these shares when they became parties to a voting agreement with Mr. Armato dated April 5, 2007.   The indirect beneficial ownership of the remaining reporting owners arose from their legal relationships to AVP Holdings, Inc. and AVP Acquisition Corp.  Stephen D. Royer is a managing member of Shamrock Capital Partners II, LLC, which in turn is the sole general partner of Shamrock Capital Growth Fund II, L.P., which in turn owns a controlling equity interest in AVP Holdings, Inc., which in turn is the sole owner of AVP Acquisition Corp.</footnote>
