Item 7.01. Regulation FD Disclosure.

On February 27, 2019, Redwood Trust, Inc. issued a press release announcing its Board of Directors’ authorization to declare a first quarter regular dividend of $0.30 per share, a copy of which is attached as Exhibit 99.1 to this current report on Form 8-K. The first quarter 2019 dividend is payable on March 29, 2019 to stockholders of record on March 15, 2019.

Redwood Trust, Inc. also announced that its Board of Directors has set May 15, 2019 as the date for the 2019 annual meeting of stockholders. The meeting will be held at 8:30 a.m. (Pacific) in Mill Valley, California. Stockholders of record as of March 21, 2019 will be entitled to vote at that meeting.

REDWOOD TRUST DECLARES $0.30 PER SHARE DIVIDEND FOR THE FIRST QUARTER OF 2019

MILL VALLEY, CA – Wednesday, February 27, 2019 – Redwood Trust, Inc. (NYSE: RWT), a leading innovator in housing credit investing, today announced that its Board of Directors authorized the declaration of a first quarter regular dividend of $0.30 per share. The first quarter 2019 dividend is payable on March 29, 2019 to stockholders of record on March 15, 2019.
