Item 3.02. Unregistered Sales of Equity Securities.
 
On May 10, 2010, Supertel Hospitality, Inc. issued an aggregate of 598,803 shares of Supertel common stock to three investors for a total purchase price of $1 million in cash and also issued 299,403 warrants to the investors.  The warrants have a term of three years and each warrant permits the holder to purchase a share of common stock for $2.50 per share in cash.  The securities were offered and sold in reliance on an exemption from the registration requirements of the securities laws provided by Section 4(2) and Regulation D of the Securities Act of 1933, for securities issued in private transactions.  There were no underwriting discounts or commissions in connection with the sale.
