This Annual Disclosure Notice (“Notice”) provides certain updated information about Your Transamerica LibertySM NY Variable Annuity, a flexible premium deferred annuity policy (“Policy”), which is no longer available for purchase.
 
Transamerica Financial Life Insurance Company (“Transamerica”) is providing this Notice in lieu of an updated prospectus for the Policy in reliance on the Securities and Exchange Commission’s position on modernized alternative disclosures for discontinued variable annuity offerings. SPECIAL TERMS
Account Value - The sum of the variable accumulated value and the general account options accumulated value.
Administrative Office and Service Center - Transamerica Financial Life Insurance Company, Attention: Customer Care Group, 6400 C Street SW, Cedar Rapids, IA 52499, (800) 525-6205.
Annuitant - The person on whose life any annuity payments involving life contingencies will be based.
Annuitization - When You switch from the accumulation phase to the income phase and we begin to make annuity payments to You (or Your designee).
Annuity Commencement Date - The date upon which annuity payments are to commence.
Annuity Payment Option - A method of receiving a stream of annuity payments selected by the Owner.
Fixed Account - One or more investment options under the Policy that are part of the Company’s general assets and are not in the Separate Account.
Guaranteed Lifetime Withdrawal Benefit - Any optional benefit under the Policy that provides a guaranteed minimum withdrawal benefit, including the Living Benefits Rider, the Retirement Income Max® Rider and the Retirement Income Choice® 1.6 Rider.
Owner (You, Your) - The person who may exercise all rights and privileges under the Policy. The Owner during the lifetime of the Annuitant and before the Annuity Commencement Date is the person designated as the Owner in the information that we require to issue a Policy.
Policy Value - On or before the Annuity Commencement Date, the Policy Value is equal to the Owner’s:
• premium payments; minus
• gross partial surrenders (partial surrenders plus the surrender charge on the portion of the requested partial surrender that is subject to the surrender charge plus taxes (on the withdrawal)); plus
• interest credited in the Fixed Account; plus
• accumulated gains in the Separate Account; minus
• accumulated losses in the Separate Account; minus
• service charges, rider fees, premium taxes, transfer fees, and other charges, if any.
Policy Year - A Policy Year begins on the Policy date and on each anniversary thereafter.
Portfolio - The investment Portfolio underlying each Variable Subaccount in which we will invest any amount the Owner allocates to that variable Subaccount.
Separate Account - Separate Account VA BNY, a Separate Account established and registered as a unit investment trust under the Investment Company Act of 1940, as amended (the “1940 Act”), to which Purchase Payments under the policies may be allocated.
Separate Account Value - The portion of the Policy Value that is invested in the Separate Account.
Subaccount - A subdivision within the Separate Account, the assets of which are invested in a specified underlying fund Portfolio.

Are There Charges for Early Withdrawal?
Yes. If You withdraw money from the Policy within four years following Your last purchase payment, You will be assessed a surrender charge. The maximum surrender charge is 8% of the premium payment surrendered, and the charge applies for up to four years from the date of each premium payment.
Example:
If You make an early withdrawal, You could pay a surrender charge of up to $8,000 on a $100,000 investment. This loss will be greater if there are taxes or tax penalties.

Are There Transaction Charges?
Yes. In addition to surrender charges, You may be charged for other transactions under the Policy. These include:
  • Transfer Fees: You are allowed up to 12 free transfers per Policy Year. After that, a fee of $10 per additional transfer may apply. However, this fee is currently waived. 
  • Special Service Fees: Charges may apply for services such as overnight delivery, duplicate policies or tax forms, check copies, and asset verification requests. Fees may also be assessed for customer-initiated changes or transactions that require additional processing. 
  • Fund Facilitation Fee: A daily fee (ranging from 0.15% to 0.30% annually) may apply to certain Subaccounts to cover costs associated with making those investment options available.

Is There a Risk of Loss From Poor Performance?
Yes. You can lose money by investing in the Policy. The Policy Value depends on the investment performance of the underlying fund Portfolios You select, and You bear the risk of any decline in the cash value of Your Policy resulting from poor performance. There is no guarantee of principal under the base Policy, and the entire amount invested is at risk.
Investment Options
Is This a Short-Term Investment?
No. This Policy is not a short term investment and is not appropriate for investors who need ready access to cash. It is designed for long term accumulation (generally for retirement). Early withdrawals can trigger surrender charges (up to 8% within 4 years of each premium), and withdrawals may be subject to income taxes and additional 10% federal tax penalties if taken before age 59½.

An investment in the Policy is subject to risks related to the Insurance Company. Any obligations under the Policy—including guarantees, Fixed Account interest, and optional benefits—are backed by the claims-paying ability of Transamerica Financial Life Insurance Company. If the Company cannot meet its obligations, You may not receive the guaranteed benefits.

Are There Restrictions on the Investment Options?
Yes. There are restrictions that may limit the Investment Options You can choose and limitations on transfers among options:
  • Investment Restrictions: If You elect certain optional riders (e.g., Guaranteed Lifetime Withdrawal Benefit Riders), You must allocate 100% of Your Policy Value to designated investment options.
  • Transfer Limits: You may make 12 free transfers per Policy Year during the accumulation phase; after that, a $10 fee per additional transfer may apply. Transfers out of the Fixed Account are limited to interest credited or at the end of a guaranteed period.
  • Company Rights: The Insurance Company reserves the right to:
    • Add, remove, or substitute underlying fund Portfolios.
    • Close or liquidate Subaccounts.
    • Restrict or eliminate transfers to the Fixed Account.
    • Stop accepting additional premium payments.
    • Impose restrictions to deter market timing or disruptive trading.

Are There any Restrictions on Policy Benefits?
Yes. Certain benefits under the Policy have restrictions and may be modified or terminated under specific conditions:
  • Optional Living and Withdrawal Benefits: If You elect riders such as the Living Benefits Rider, Retirement Income Max® Rider, or Retirement Income Choice® 1.6 Rider, withdrawals that exceed the rider’s limits are considered excess withdrawals. These can:
    • Reduce the benefit base by more than the amount withdrawn.
    • Lower future guaranteed withdrawal amounts.
    • Terminate the rider entirely if the Policy Value is reduced to zero due to excess withdrawals.
  • Death Benefits: Optional guaranteed minimum death benefits cannot be added after issue and terminate upon Annuitization. Death benefit amounts may be reduced by withdrawals.
  • Annuitization: All optional benefits terminate when the Policy is Annuitized, except guarantees provided under the selected Annuity Payment Option.
  • Company Rights: The Insurance Company reserves the right to discontinue offering certain riders for new sales, modify rider terms as permitted by law, and restrict eligibility based on age or other criteria.

What Are the Policy’s Tax Implications?
You should consult with a qualified tax professional to determine the tax implications of investing in this Policy and receiving purchase payments. There is no additional tax benefit if the Policy is purchased through a tax-qualified plan or an individual retirement account (IRA), because those plans already provide tax deferral.
 
Withdrawals are generally subject to ordinary income tax and may also incur a 10% federal penalty tax if taken before age 59½. Surrenders and withdrawals can also reduce benefits and may trigger surrender charges. Tax rules vary by individual circumstances and may change.

How Are Investment Professionals Compensated?
Some investment professionals may receive compensation for selling the Policy to investors. Compensation is typically paid in the form of:
  • Commissions based on premium payments.
  • Revenue sharing arrangements between the Insurance Company and selling firms.
  • Payments from affiliates and third parties, which may include marketing allowances, conference sponsorships, and non-cash incentives such as travel or gifts.
These arrangements mean that investment professionals may have a financial incentive to offer or recommend this Policy over another investment.
 
Our current affiliate, Transamerica Capital, LLC (“TCL”) (formerly Transamerica Capital, Inc. (TCI)) is the principal underwriter and may share the revenue we earn on this Policy with Your investment professional’s firm.
Other Information - Distribution of the Policies
Should I Exchange My Policy?
Some investment professionals may have a financial incentive to offer You a new Policy in place of the one You already own because they may receive commissions or other compensation for selling a new Policy. You should only exchange Your Policy after carefully comparing:
  • The features, fees, and risks of both Policies.
  • Any surrender charges or penalties for terminating Your existing Policy.
  • Whether the new Policy better meets Your financial goals than continuing to own Your current Policy.
Exchanging solely for the benefit of the salesperson could result in unnecessary costs and loss of benefits.

Certain Subaccounts may not be available in all states, at all times or through all financial intermediaries. We may discontinue offering any Subaccount at any time. In some cases, a Subaccount not available through a financial intermediary may be obtained by contacting us directly.
