and deemed filed pursuant to 14a-12

Subject Company: Carrizo Oil & Gas, Inc.
Commission File No.: 000-29187-87

On October 3, 2019, Joseph C. Gatto, Jr., the President and Chief Executive Officer of Callon Petroleum Company (“Callon”), distributed the following communication to employees of Callon:

Dear Callon Team Members,

For almost seven decades, the people of Callon Petroleum have continually adapted to the evolving landscape of the energy industry. Through countless commodity cycles, we have continued to compete through focused execution and thoughtful strategic moves, including our recently announced acquisition of Carrizo.

But sometimes, adapting requires making very difficult decisions. This morning, we met with the Natchez team to share the news that we will be closing the Natchez office in mid-2020. This is a decision we haven’t taken lightly, especially considering the profound impact the people of Natchez have had on our history and culture through the years.

As we mapped out the structure of the combined Callon-Carrizo organization, we were confronted with the reality that several departments in the Natchez and Houston offices are currently performing the same function, with employees doing the same work. Ultimately, the cost savings from having a single corporate office and the efficiencies of proximity to other key operational functions weighed in favor of a consolidated Houston team.

Our Natchez employees have deep knowledge and experience with the company and will be an integral part of our transition to the new organization. Over the coming weeks, we will be working with the Natchez leadership team to develop a more detailed transition plan including the timing impacts for individual employees.

We are also committed to supporting the personal transitions of our employees. As previously announced, we will be providing competitive severance packages to our exiting employees in appreciation for the contributions they’ve made to Callon over the years.

We very much appreciate that the Natchez office is where Callon began and has meaningfully contributed to who we are today as an organization. To honor the company’s valued origins, we are also planning for a philanthropic legacy in Natchez in appreciation for the community’s support of Callon over the years.

We recognize that this is a busy time for all as we continue the process of preparing for the combined company. Please remember that until the transaction is complete, Callon and Carrizo continue to operate day-to-day activities as independent companies. For now, we must remain focused on continuing to safely and responsibly deliver the results that our shareholders expect.

Thank you to all of you for your continued commitment and especially to our Natchez employees who have helped build a strong legacy for Callon into the future.

Joe
