Dear Mr. O’Connor:
     Pursuant to the requirements of Rule 14a-6(b) under the Securities Exchange Act of 1934, submitted electronically via EDGAR, attached is a definitive copy of the proxy statement, notice of meeting and form of proxy card to be furnished to shareholders of the Wilmington Multi-Manager Real Asset Fund(the “Fund”), in connection with a Special Meeting of Shareholders of the Fund to be held on April 21, 2008 (the “Meeting”). The Fund anticipates that the definitive proxy materials will be sent on or about March 14, 2008 to shareholders of record on March 4, 2008. The special meeting is being called in order for shareholders to consider the addition of two new sub-advisers to the Fund.
     This letter also addresses the comments of the Securities and Exchange Commission’s staff (the “Staff”) with respect to the preliminary proxy materials filed with the Commission on February 29, 2008, which were provided orally on March 5, 2008. The proxy materials were filed pursuant to the requirements of Rule 14a-6(a) under the Securities Exchange Act of 1934.
