Item 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION

Cecil Bancorp, Inc. plans to distribute the letter to shareholders, which includes information regarding the quarter ended June 30, 2006 and is attached as Exhibit 99 to this Form, on August 10, 2006. Additional information regarding the results of operations and financial condition of the Company for the second quarter 2006 will be included in the Company's report on Form 10-QSB for that period.
