     On June 30, 2008, Vermillion, Inc. issued a press release announcing that the Company received notification from the NASDAQ Listing Qualifications Panel (the “Panel”) that the Panel had determined to continue the listing of the Company’s securities on The NASDAQ Capital Market, subject to compliance by the Company with Marketplace Rule 4310(c)(3) by September 22, 2008.

     A copy of the Company’s press release dated June 30, 2008 is attached as Exhibit 99.1 to this report on Form 8-K and is incorporated herein by reference.
