A description of the common stock of Tix Corporation (the “Company”) to be registered pursuant to this Form 8-A is contained in the section titled “Description of Capital Stock” in the Company’s Amendment No. 3 to Registration Statement on Form SB-2 filed with the Securities and Exchange Commission on February 2, 2006, and is incorporated herein by reference.
