Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(d)    On September 17, 2019, the Board of Directors of Central European Media Enterprises Ltd. (the “Company”) appointed Mr. Peter Knag to the Board of Directors. Mr. Knag was appointed pursuant to the right of Warner Media, LLC to designate one less than the majority of the number of directors on the Company's Board of Directors under the terms of the Framework Agreement dated February 28, 2014 among the Company, Warner Media, LLC and Time Warner Media Holdings B.V. which was filed with the Securities and Exchange Commission as Exhibit 99.1 to the Company’s Registration Statement on Form S-3 on February 28, 2014.
